MEMORANDUM OF THE
SCRABBLE ASSOCIATION OF INDIA.

1. THE NAME OF THE SOCIETY

The name of the society shall be the "SCRABBLE ASSOCIATION OF INDIA" and shall hereinafter be referred to as the "Association ".

2. REGISTERED OFFICE OF THE SOCIETY

THE SOCIETY shall have its registered office at No. E / 10, Saraswat Colony, Sitladevi Temple Road, Mahim, Mumbai - 400 016.

3. AIMS AND OBJECTS

A. THE OBJECTS FOR WHICH THE SOCIETY IS ESTABLISHED ARE :-

1. To function as the primary body governing the game of Scrabble in India.

2. To promote the game of Scrabble in India

3. To promote the game of Scrabble in schools, colleges and institutions throughout India.

4. To endeavour to coordinate activities of all clubs, associations and institutions promoting Scrabble and to maintain a directory of such clubs, associations and institutions including the players.

5. To strive to be the repository of the latest data and information on the game.

6. To sponsor, if feasible, persons selected from India to represent India in International tournaments that may be held in other geographical locations anywhere in the world.

7. To be the final arbiter in all cases concerning eligibility of the persons selected from India to represent India in any International tournament.

8. To establish a website with a web master to collect and maintain all possible information about the game in India and abroad.

9. To evolve a rating system for the players and tournaments.

10. To make available at cost through regional clubs and Associations, books and periodicals, multi-media devices, etc. relating to Scrabble.

11. To make India a suitable location for organizing and conducting International Scrabble tournaments.

12. To provide a platform or colloquium for all members of the Association to safeguard and to protect their interests, welfare and status.

13. To address itself to all kinds of issues relating to diffusion of knowledge and to promote esprit de corps and camaraderie among members and others, and provide advisory services to Members.

14. To organize, conduct, regulate, promote tournaments, exhibition matches and coaching programmes.

15. To train persons to become competent word judges to adjudicate at Scrabble tournaments and events.

16. To make, adopt, vary, register rules, regulations, bye laws and conditions for the utilization and / or development of the Association for the promotion of activities beneficial to the attainment of its objects.

17. To collect funds / raise loans from members or other individuals or organizations on such terms and conditions as decided by the Executive Committee from time to time for the purpose of the Association and to employ them in such manner as may be necessary for attaining the objects of the Association.

18. To coordinate with various other organizations Governmental / Quasi-Governmental / Private, individuals, firms or associations in any part of the world to achieve any or all the foregoing objects, without losing the individuality of the Association.

19. To disseminate its views to the general public through advertising, educating, and spreading knowledge, by publication of books and conducting lectures, seminars and conferences, involving mass media and the like, and thus evolve public opinion on matters and interests that would appeal to the common people in the game of Scrabble.

20. To evolve strategies and do all such acts, as would be incidental or conducive for the achievement of the goals of the Association.

B. OBJECTS INCIDENTAL AND ANCILLARY TO THE ATTAINMENT OF THE MAIN OBJECTS ARE :-

1. To liaise, co-ordinate, support and supplement the Government agencies, public institutions, voluntary organizations and other agencies in the promotion of Scrabble.

2. To make such representation as may be found necessary to the Union Government, State Government, local and public bodies, etc. in all matters considering the welfare of its members.

3. To nominate on behalf of the Association, delegates, advisors and other persons competent to advance the interests of the Association and to represent the Association.

4. Subject to the provisions contained in Section11(5) and Section13(1) (d) of The Income Tax Act, 1961 and the relevant provisions contained under the Societies Registration Act, 1860 and the relevant rules and circulars framed under the above acts from time to time, the Association shall have the powers :-

(a) To acquire by purchase, lease, exchange, hire or otherwise, lands, buildings, superstructure and property of any tenure, or any interest / right in the same, with the permission of the appropriate authorities.

(b) To lease, mortgage, sell, exchange and hypothecate the properties of the Association.

(c) To accept gifts of properties, movable and immovable and donations in cash or kind and obtain grants of lands, buildings and other gifts from any Government, Quasi-Government Corporations, or bodies and / or any Municipal and Local bodies in India or Foreign countries.

(d) To hold and administer the properties movable or immovable in any manner it may deem fit for the promotion of the objects of the Association.

(e) To invest the funds of the Association in the name of the "Scrabble Association of India" and to vary or realize such investment as they may deem fit from time to time.

5. To open and operate any bank accounts of any description with any nationalized or State banks or scheduled banks in the name of the Association and to operate the same by a minimum of two persons, from the Executive Committee, as may be decided upon by the Executive Committee from time to time.

6. To draw, make, accept, discount, endorse, negotiate, execute and issue any bill of exchange, promissory note, cheques or other negotiable / transferable or other instruments which the Association may deem necessary or proper in accordance with the objects of the Association.

7. To do or cause to be done all such acts, deeds and things as shall be beneficial to the welfare of its members requiring assistance of the Association provided such acts, deeds and things are not contrary to, or inconsistent with the spirit and principles of the law under which the Association has been organized and registered.

8. To acquire either wholly or in part and publish publications, newspapers, magazines, pamphlets, journals, reviews, pictorials, annual journals, supplements, books and circular, interact / tie up with libraries and such other organizations / entities, all in furtherance of the above objects.

9. OTHER ACTIVITIES OF THE ASSOCIATION :

a. The Association in furtherance of any of the objects above, may take appropriate action from time to time.

b. The Association may enter into contracts or agreements with persons, whom the

Association may think fit for implementing the objects of the Association.

c. The Association shall be entitled to retain or from time to time employ staff, professionals, technical personnel, advisors, etc. and pay for their services, such as fee, salary, remuneration or honorarium as the Executive Committee of the Association considers expedient.

d. The Association shall be entitled to open and close branch offices at such times and places as the general body may from time to time determine, to carry on its activities.

e. The Executive Committee may in its discretion pay such honorarium including expenses to any member of the Association for any services rendered by him.

f. The Association shall be entitled to do and cause to be done all such lawful things as are in accordance with the spirit and principles of the objects of the Association or which are conducive to the pursuit and attainment of the aims and objects of the Association.

g. All the incomes, earnings, movable or immovable properties of the Association shall be solely utilized and applied towards the promotion of its aims and objects only as set forth in the Memorandum of Association and no portion thereof shall be paid or transferred directly or indirectly by way of dividends, bonus, profit or in any manner whatsoever, to the present or past members of the Association or to any person claiming through any one or more of the present or past members. No member of the Association shall have any claim on any movable or immovable properties of the Association or make any profit, whatsoever, by virtue of his or her membership.

5. DESIROUS PERSONS
We, the undersigned persons are desirous of forming a society namely the "Scrabble Association
of India" under the Societies Registration Act, 1860 in pursuance of this Memorandum of
Association of the Society.






RULES AND REGULATIONS OF
THE SCRABBLE ASSOCIATION OF INDIA.


1. INTERPRETATION

In these regulations unless there is anything in the context, repugnant or inconsistent therewith :

a. "Association " means the "SCRABBLE ASSOCIATION OF INDIA".

b. "Members" shall include Patron members, Ordinary members, Institution members, Associate members and Honorary members of the Association.

c. "Executive Committee" means the Governing Body of the Association constituted of Ordinary Members elected as Executive committee Members by the General Body for the purpose of the management of the Association.

d. "The Act" means the Societies Registration Act, 1860 (Central Act 21 of 1860) or any statutory modification or re-enactment thereof.

e. "The Rules" means the Societies Registration (Maharashtra) Rules, 1971 or any statutory modification or any re-enactment thereof.

f. "Office Bearers" shall mean the President, Vice-President, Secretary, Treasurer and Joint Secretary of the Association.

g. Anything referred to the "singular" shall include "plural" and the "masculine" shall include the
"feminine".

h. "Year" shall mean the period from 1 st April to 31 st March following.

i. Any term used herein shall have the meaning given to it in the Act or the Rules.

j. "Membership Fees" shall mean the admission fees for membership of the Association and
"Yearly Subscription" shall mean the regular yearly subscription fixed as per rules.

2. THE GENERAL BODY

The General Body shall consist of all the Ordinary Members and the authorized representative of each Institution Member of the Association. It shall meet as often as necessary and at least once every year and review the working of the ASSOCIATION.

The Annual General Body Meeting of the General Body shall be held before the 30 th of June every year.

Not less than ten days notice shall be given in writing to every member of the General Body for every meeting of the General Body.

On receipt of a request in writing signed by at least one-fourth of the total number of members, giving reasons for holding additional meetings, the Secretary shall convene such Extraordinary General Body Meetings within a reasonable time not exceeding two months. The genuineness or the sufficiency of the reason may be determined by the Executive Committee which shall be duly intimated to the requisitionist who addresses the requisition.

The quorum for an Annual General Body meeting shall be 1/5 th of the members eligible and the quorum for an Extra Ordinary General Body meeting or Ordinary General Body shall be 1/5 th or 50 whichever is less. If there is no quorum even after 1 hour of the scheduled time of the meeting, the meeting shall stand adjourned to the same time and place next day. If for any reason the time and / or venue has to be changed for the next day meeting, no further intimation in that regard be given. It shall be the duty of members to ascertain the same from the office of the Association. At an adjourned meeting, 30 minutes after the time specified in the notice, the business intended for the original meeting shall be disposed of irrespective of whether there is a quorum or not.

3. VOTING

a. All Ordinary Members and one authorized representative of each type of Institutional Member shall have equal voting rights at the General Body meetings of the ASSOCIATION.

b. Every member shall be entitled to vote for candidates standing for the office of President, Vice President, Secretary, Joint Secretary, Treasurer and Committee Members if any.

c. Members shall be entitled to vote only personally, at any meeting of the General Body or the Executive Committee.

d. The mode of voting shall be determined by the Executive Committee.

4. MINUTES

The Association shall cause minutes of all proceedings of meetings of the General Body and of the Executive Committee to be entered in registers kept for the purpose under the signature of the presiding officer.

Copy of the minutes of any meeting shall be issued to any member of the Association on payment of Rs.15/- (Rupees Fifteen Only) inclusive of copy and postal charges along with a written application.

The registers containing the minutes aforesaid and the books of account of the Association shall be kept at the registered office of the Association and shall during business hours be open for inspection by any member free of charge.

5. MANAGEMENT AND GOVERNANCE :

The management of the affairs of the Association shall vest in the Executive Committee which shall consist of :

a. President
b. Vice President
c. Secretary
d. Joint Secretary
e. Treasurer
f. 2 Committee Members


In the case of death of any member of the Executive Committee the remaining members of the said Committee, shall be entitled to co-opt any Ordinary or Institutional member, to fill up the vacant post and such member shall be entitled to function in that capacity during the tenure of that Committee.

a. PRESIDENT

The President shall preside over all General Body and Executive Committee meetings and such other meetings and serve as the Chairperson.

b. VICE PRESIDENT

It shall be the duty of the Vice President to assist and cooperate with the President in all matters. In the absence of the President the Vice-President shall take up the duties of the President.

c. SECRETARY

The Secretary shall conduct all the work of the Association under the guidance of the President and be the Chief Executive of the Association. He shall also take help from and assign such work as he deems fit to the Joint Secretary. The Association can sue and be sued in the name of the Secretary unless otherwise specifically resolved by the Executive Committee.

d. JOINT SECRETARY

He shall assist the Secretary in the discharge of his duties and shall carry out such duties as are assigned to him by the Secretary. In the Secretary's absence, he shall deputise on all forums. In the Secretary's absence the Association can sue and be sued in the name of the Joint Secretary unless otherwise specifically resolved by the Executive Committee.

e. TREASURER

The Treasurer shall ensure maintenance of the prescribed accounts and registers correctly and up to date. He shall ensure maintenance of receipts, vouchers and other documents required by the rules as framed by the General Body. He, along with the Secretary or the President, shall jointly operate the bank accounts.

f. COMMITTEE MEMBERS

The Committee Members shall be assigned such tasks and duties as determined by the Executive Committee

5. OFFICERS EMPOWERED TO GIVE DIRECTIONS

a. The Secretary, subject to the superintendence, guidance, control and direction of and any limitations that may be imposed from time to time by the Executive Committee shall give directions concerning the day to day activities of the Association.

b. In the absence of the Secretary, either for a temporary period or due to any vacancy in office or due to other contingency as is specifically recorded by the Executive Committee in a resolution in this behalf, the powers vested by this clause shall be exercised by the Joint Secretary.

c. The Executive Committee, in the absence of the Treasurer, may nominate a member for a particular duration and may stipulate the subject matter for which the nominated member may exercise the power.

6. MEMBERSHIP

There shall be the following classes of membership.
a. Patron members, b. Ordinary members, c. Institution members, d. Associate members and e. Honorary members.
a. Patron members :
The Executive Committee shall have the power to invite any distinguished person as it thinks fit to become a patron of the Association. A patron need not pay any membership fee. Patron members will have no voting rights.

b. Ordinary members :
Any person who is a permanent resident of India may apply in the prescribed application form for an ordinary membership. The Executive Committee will consider the application and may either accept or reject the same. A person will become an ordinary member on paying an admission fees an amount of Rs.250/- (Rupees Two Hundred and Fifty only) and an annual subscription fees of Rs.100/- (Rupees One Hundred only) along with the application.

c. Institution members :
An Institution Member shall be a club, association, company, firm or body of persons in public or private sector including Governmental organizations with a written constitution and appropriate registration. There shall be two types of Institution Members namely : -
i) Those admitted on payment an amount of Rs.3,000/- (Rupees Three Thousand only) and an annual subscription fees of Rs.400/- (Rupees Four Hundred only). Such Institution Members shall have the right to nominate at a given time Five named persons in the prescribed application.

ii) Those admitted on payment an amount of Rs.1,500/- (Rupees One Thousand Five Hundred only) and an annual subscription fees of Rs.200/- (Rupees Two Hundred only). Such Institution Members shall have the right to nominate at a given time Two named persons in the prescribed application.

d. Associate Members
Any person Indian or foreign National who is a not a permanent resident of India may apply in the prescribed application form for an Associate membership. The Executive Committee will consider the application and may either accept or reject the same. A person will become an Associate member on paying an admission fee an amount of Rs.500/- (Rupees Five Hundred Only) or $12.00 (Twelve Dollars Only) and an annual subscription fees of Rs.200/- (Rupees Two Hundred Only) or $5.00 (Five Dollars Only) along with the application. Associate members will have no voting rights.


e. Honorary members

The Executive Committee may invite persons of distinction to become Honorary Members for a period of one year. However, such members are exempted from paying any kind of fees or subscription. Honorary members will have no voting rights.

Any individual / legal entity who is a permanent resident in INDIA is only eligible to apply for Ordinary and Institutional membership. The minimum age limit for an individual to become a member of the Association is 18 years. In respect of minors desiring to play Scrabble under the auspices of the Association their natural / legal guardians can apply for the membership and thereafter the minor will be allowed to play Scrabble as a dependant member, subject to the condition, that the natural / legal guardian shall be liable for any loss or damage to the reputation or property of the Association and shall be deemed to have indemnified the Association in this regard on becoming a member. The Executive Committee of the Association shall maintain a list of members as required by the Act.

7. RESTRICTIONS AND CONDITIONS FOR BECOMING A MEMBER

a. Every candidate for membership shall sign the appropriate application (proposed by one and seconded by another member of the Association) and file the form with the Association together with the admission and subscription fees.

b. Such nominations are subject to the approval of the Executive Committee.

c. The admission of Members shall be at the sole discretion of the Executive Committee which shall have the right to reject any application for membership without assigning any reason.

8. ADMISSION AND SUBSCRIPTION FEES

The members will pay such admission fees and subscription fees as may be decided by the Association.
The admission or subscription fees once paid will not be returned or refunded under any circumstances unless the application is rejected. The General Body will have the powers to amend the admission fees while the Executive Committee shall decide the amount of annual subscription fees for each membership categories.

9. TERMINATION

Membership shall cease :

a. on a member tendering resignation in writing to the Executive Committee subject to the same being accepted by the Executive Committee and on such terms and conditions, if any, as the Executive Committee may deem fit to impose.

b. if there is non payment of subscription fees for more than a calendar year.

c. if a member is wound up or declared insolvent.

d. if a member acts in a manner that is unbecoming of a member of the Association, and it is so decided by the Executive Committee, such member shall be given an opportunity of being heard.

e. if a member is considered ineligible to continue as such by the Executive Committee for any reason, such member shall be given an opportunity of being heard.

f. on the death of the member.

g. In the event of furnishing of any incorrect information, willful omission of any particulars in the application submitted by the Member, the Executive Committee may cancel the membership, if already given.

10. DUTIES, RIGHTS, OBLIGATIONS AND PRIVILEGES OF MEMBERS

a. Members are expected to actively involve themselves in achieving the objects of the Association. The members shall bring matters of importance to the notice of the Executive Committee.

b. Members shall be entitled to all the rights and privileges and be bound by all the obligations that are envisaged by these regulations and the Act and the Rules.

c. Members will be entitled for concessions in entry fees, boarding and lodging during any major tournament or event, to be fixed by the Executive Committee.

d. Members will be entitled to receive newsletters of the Association.

11. DUTIES AND POWERS OF THE EXECUTIVE COMMITTEE

a. The Executive Committee shall take decisions to further the objectives of the Association mentioned in the Memorandum. The decisions of the Executive Committee shall be binding on the Association unless set aside by the General Body.

b. The Executive Committee shall be entitled to constitute from among its members, one or more Sub-Committees for particular activities, such as audit, organizing competitions, etc.

c. The Executive Committee shall have the power to conduct tournaments / competitions / coaching programmes and decide on the quantum of prize monies or medals or the like to awarded to the winners and other participants.

d. The Executive Committee or any other sub-committee appointed by the Executive Committee shall have the power to settle any dispute arising in tournaments / competitions conducted by the Association.

e. The Executive Committee may constitute sub-committees for discharging specific functions and the Secretary shall be an ex-officio member of every such sub-committee.

f. The Executive Committee shall co-opt members to the Executive Committee in case of death.

i. The Executive Committee shall have the power to fill up any casual vacancies in the Executive Committee.

j. The Executive Committee shall be in charge of investments and application of funds ;

k. The Executive Committee shall take up such other matters, as the members may specify in the resolution passed in a general meeting in this behalf ;

l. The Executive Committee shall be responsible for hiring and payment for personnel, creating the infrastructure and other facilities and take measures for putting the objectives and activities to work.

m. The Executive Committee shall apply funds being earmarked to provide for the support to any deceased or disabled member.

n. The Executive Committee shall admit and decide on the extent of contribution of the various classes of members. The policies, inter alia, may amidst others to provide for limits on the membership and quantum of donations, fix the due dates for payment of fees and may determine the manner of dealing with arrears of payment including :

i. imposition of fine and penalty ;
ii. suspension of membership ;
iii. removal of member for persistent default.

C. RESTRICTIONS ON POWERS OF EXECUTIVE COMMITTEE

The Executive Committee shall not, except with the consent of the members through a special resolution (3/4 of the members present and voting) passed at a General Body meeting :-

a. amalgamate the Association with any other body or institutions, whether incorporated or not ;
b. liquidate the Association;
c. wind up the affairs of the Association ;
d. dissolve the Association ;
e. dispose of substantial assets of the Association exceeding Rs.50,000/- (Rupees Fifty Thousand Only) in value;
f. borrow money in excess of the corpus and general fund of the Association ;
g. such other matters as mentioned in a resolution passed in a General Body meeting in this behalf.


10. PRESENTATION OF ANNUAL REPORT & AUDITED ACCOUNTS

The Secretary shall present the Annual Report and the Treasurer shall present Audited Accounts of the Association before 30 th June every year at the General Body meeting for approval by the General Body.

11. ELECTIONS

Elections to the Executive Committee shall be conducted every two years before 30 th June. The term of the office of the members of the Executive Committee shall be two years.

12. MEETINGS OF THE EXECUTIVE COMMITTEE

A meeting of the Executive Committee shall be held once in six months or on such other occasions as may be deemed necessary by a majority of the Executive Committee.

The quorum for a meeting of the Executive Committee shall be three.


13. PREPARATION AND FILING OF RECORDS, DOCUMENTS ETC. WITH THE REGISTRAR,

The Secretary and the President of the Association shall be responsible for preparing and filing with the Registrar concerned, annual reports or other statements which are specified in the Act and the Rules.

14. PROVISION REGARDING AUDIT OF ACCOUNTS, SUPPLY OF DOCUMENTS, INSPECTION ETC.

a. The financial year of the Association shall be from the 1st of April to 31st March of the subsequent year. The General Body may alter the financial year from time to time by a resolution passed in this behalf.

b. The accounts of the Association for the financial year shall be audited by a chartered accountant if statutorily required. The appointment of the Chartered Accountant, remuneration thereof, and the subsequent discussion on the audited report and resolutions, shall be as decided by the Executive Committee.

c. The copies of the Memorandum, the rules and regulation, income and expenditure account and Balance Sheets shall be supplied to the members, free of cost.

d. The members shall, with the prior permission of the Secretary, have the right to inspect, the Register of members, Minutes register of the meetings of the General Body and Executive Committee and the Books of Accounts of the Association kept at its Registered office, free of charge.

15. AMENDMENTS :

The rules and regulations may be repealed, altered, or amended by a resolution at a General Body Meeting of the members provided that due notice had been given for the same and a minimum of fifty members eligible to vote or 1/5 th of the total members of the General Body eligible to vote whichever is lower, present at the meeting, vote for the same with 2/3 rd majority supporting the motion.

16. DISSOLUTION

If upon winding up or dissolution of the Association there shall remain, after satisfaction of all its debts and liabilities, any property or assets whatsoever, the same shall vest with the Government or such other charitable organizations as may be determined by the General Body.
